Terms of Service

1.Acceptance of these terms

These Terms of Service (the “Terms”) govern your use of the Floating Sage Business mobile application (the “App”) and the website at floatingsage.com (the “Site”), together the “Service”. By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

The Service is operated by Neha Yadav, an individual proprietor trading as “Floating Sage”, based in Mumbai, Maharashtra, India (“we”, “us”, “our”).

2.Licence to use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for your business purposes. This licence does not grant you any ownership of the App or its underlying intellectual property.

You agree that you will not:

  • Reverse-engineer, decompile, or disassemble the App, except where the law expressly permits it.
  • Modify the App or create derivative works based on it.
  • Sublicence, rent, lease, or resell the App.
  • Remove or obscure any copyright, trademark, or proprietary notices.
  • Use the App to violate any applicable law or the rights of any third party.

3.Your responsibilities

You are responsible for:

  • The accuracy and lawfulness of business and customer data you enter into the App, including GST records.
  • Obtaining any consents required from your customers before recording their personal data, in line with the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and applicable rules.
  • Securing the device(s) on which the App is installed (PIN, biometric lock, screen lock).
  • Creating and safely storing backup files. We have no copy of your data and cannot recover it for you.
  • Renewing third-party API credentials you bring (e.g. WhatsApp Business API tokens, payment gateway credentials).
  • Compliance with tax law — including timely filing of GST returns based on records you keep in the App.

4.Privacy

Our handling of personal data is described in our Privacy Policy. By using the App you also accept the Privacy Policy. If there is any conflict between these Terms and the Privacy Policy on a privacy matter, the Privacy Policy controls.

5.Third-party services

The App offers optional integrations with third-party services (for example, the WhatsApp Business API operated by Meta Platforms, an off-network sync relay, payment gateways, app stores). Your use of those services is governed by their respective terms. We are not responsible for the availability, content, or policies of any third-party service.

6.App updates and changes

We may release updates to the App from time to time. Some updates may add, change, or remove features. We will not knowingly remove a security or privacy guarantee without making a reasonable effort to notify you in advance, in-app or by email.

We may also revise these Terms. Material changes will be reflected in the “Last updated” date above and announced inside the App. Continued use of the App after a revision constitutes acceptance of the revised Terms.

7.Disclaimer of warranties

The App is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

We do not warrant that the App will be error-free, that defects will be corrected, or that the App is free of viruses or other harmful components. You use the App at your sole risk.

Floating Sage Business is a record-keeping tool. It is not a substitute for professional advice (legal, tax, accounting). You should consult a qualified professional for matters that require it.

8.Limitation of liability

To the maximum extent permitted by law, in no event shall Floating Sage, its operator, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of data, business interruption, or goodwill, arising out of or in connection with your use of or inability to use the App, even if advised of the possibility of such damages.

To the extent any liability cannot be excluded by law, our aggregate liability for all claims arising out of or relating to the App in any 12-month period shall not exceed the greater of (a) the amount you paid us for the App in that period, or (b) one thousand Indian rupees (₹1,000).

9.Indemnification

You agree to indemnify and hold Floating Sage and its operator harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your use of the App in breach of these Terms; (b) your violation of any law or the rights of any third party (including your customers’ rights under the DPDP Act); or (c) the data you process using the App.

10.Termination

These Terms remain in effect while you use the App. You may end them at any time by uninstalling the App and ceasing use of the Service. We may terminate or suspend your use of the Service if you materially breach these Terms or if required by law.

Sections that by their nature should survive termination — including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — shall survive.

11.Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Subject to the next sentence, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with the Service.

Nothing in this clause limits any right you may have under the Consumer Protection Act, 2019 to bring a complaint before a consumer dispute redressal forum in your own jurisdiction, or under the DPDP Act 2023 to escalate a privacy grievance to the Data Protection Board of India.

12.Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App, and supersede any prior agreement on the subject.
